AUSTRALIA | The agreement by Australia's largest cannery, SPC to merge with Nature One Dairy and The Original Juice Company will create a food and beverage powerhouse.

These three iconic Australian companies will merge to form SPC Global, a $400 million annual revenue food and beverage powerhouse. This new entity combines the strengths of SPC, Nature One Dairy, and The Original Juice Company, creating a market leader with significant scale and export ambitions.

Robert Iervasi, former CEO of Asahi Beverages Group and current SPC Director, will lead as Managing Director. The merger will enhance operational efficiencies and expand market reach for all three brands, which include well-known household names like SPC, Ardmona, Goulburn Valley, ProVital, Pomlife, the Good Meal Co, and Street Eats.

SPC, a legacy brand established over a century ago, is Australia’s largest canned fruit, tomatoes, baked beans, and spaghetti producer. The Original Juice Company specialises in chilled juices and has maintained a solid commitment to sourcing local fruits since its inception in 1988. Nature One Dairy, an Australian-founded entity registered in Singapore, focuses on premium infant formulas and nutritional products, benefiting from a robust distribution network across Australia and Asia.

Iervasi expressed enthusiasm about the merger, highlighting the potential for product distribution and market expansion synergies. The merger not only aims to bolster domestic sales but also enhances the combined group’s capabilities to penetrate international markets.

“We are excited to expand with OJC both domestically and globally and see significant synergy potential in bringing the two producers together,” said Iervasi.

The deal is subject to shareholder approval and ASX requirements, and the combined company is expected to deliver more than $400 million in revenue this financial year. Upon completion, the ownership structure of the combined business will reflect a distribution of 69.2% for SPC, 15.5% for OJC, and 15.3% for Nature One Dairy.

The newly formed SPC Global is poised to deliver over $29 million in EBITDA in FY25 while continuing to support Australian producers and pursue a global growth strategy.
